RESTRICTED DISTRIBUTION POLICY

Effective Date: April 1, 2025

Stone Blade Entertainment (“SBE”) is committed to protecting the integrity of its brand and ensuring a consistent customer experience. To achieve these goals, SBE has implemented this Restricted Distribution Policy (the “Policy”), which governs the sale of SBE products across specified platforms.

Policy Statement

The Sale of Stone Blade Entertainment products on any third-party marketplace is strictly prohibited unless specifically authorized in writing by Stone Blade Entertainment. This includes, but is not limited to:

• Amazon.com

• Amazon.ca

• Amazon.co.uk

• Walmart Marketplace

• Target Plus

• Barnes & Noble Marketplace

Scope of Application

1. Distributors:

• This Policy applies to all authorized distributors of SBE products.

• Distributors are prohibited from listing or selling SBE products on any third-party marketplace without express written authorization from SBE.

2. Retailers and Customers of Distributors:

• This policy applied to all retailers, resellers, customers of SBE, and customers of distributors of SBE products.

• Retailers and customers of distributors are prohibited from listing or selling SBE products on any third-party marketplace

Responsibilities of Distributors

1. Communication: Distributors must inform their customers of this Policy and ensure they understand and comply with its requirements.

2. Enforcement: Distributors must take proactive steps to ensure their customers are aware of this Policy, including:

• Requiring customers to acknowledge the Policy in writing.

• Monitoring sales practices of their customers to ensure compliance.

3. Reporting Violations: Distributors are encouraged to report any known or suspected violations of this Policy to SBE promptly at sales@stoneblade.com.

Consequences of Non-Compliance

Failure to comply with this Policy will result in the following actions:

1. For Distributors:

• Potential termination of distributor status.

• Potential legal action to recover damages or enforce compliance.

2. For Resellers and Customers of Distributors:

• Immediate cessation of supply of SBE products.

• Potential legal action by SBE.

Monitoring and Enforcement

SBE reserves the right to monitor sales channels, conduct audits, and investigate potential violations of this Policy.

No Contractual Relationship

This Policy does not constitute an agreement or contract between SBE and any distributor, reseller, or other party. Compliance with this Policy is a condition of being an authorized distributor or reseller of SBE products. SBE reserves the right to modify or terminate this Policy at its sole discretion and without prior notice.

MINIMUM ADVERTISED PRICE POLICY

Stone Blade Entertainment (“SBE”) is committed to supporting its authorized sellers and maintaining the integrity of its brand. To achieve these goals, SBE has implemented this Minimum Advertised Price (MAP) Policy (the “Policy”).

Policy Statement

The minimum advertised price (MAP) for any Stone Blade Entertainment product must not be less than 80% of the Manufacturer Suggested Retail Price (MSRP) for that product. Exceptions to this Policy must be specifically authorized in writing by Stone Blade Entertainment.

Scope of Application

This Policy applies to all forms of advertised pricing, including but not limited to:

• Public-facing websites, e-commerce platforms, and marketplaces.

• Print advertisements, including catalogs and flyers.

• Broadcast advertisements, such as radio, television, and live web events (e.g., live-streams).

• Any other medium where pricing is publicly visible.

Policy Guidelines

1. Net Advertised Price:

• Any form of discounting that results in an advertised price below 80% of the MSRP—including rebates, coupons, percentage discounts, or other mechanisms—will be considered non-compliant with this Policy.

2. Bundling and Promotions:

• When SBE products are included in bundles or promotions, the advertised price of the bundle must ensure that no individual SBE product is effectively advertised below 80% of its MSRP.

3. Non-Compliance:

• Failure to comply with this Policy will result in the following actions:

• Written notice of the violation.

• Potential suspension or termination of authorized seller status.

• Legal action if necessary.

4. Monitoring and Enforcement:

• SBE reserves the right to monitor advertised prices through various channels to ensure compliance with this Policy.

Unilateral Policy

This MAP Policy is unilateral and non-negotiable. It is not an agreement or contract between SBE and any seller. Compliance with this Policy is a condition of being an authorized seller of SBE products. SBE reserves the right to modify or terminate this Policy at its sole discretion and without prior notice.
